General ProvisionsThese Terms of Service (the "Agreement") govern the use of the website https://meridianglobalaccess.online (the "Website"), the purchase of Memberships, subscription services, and all concierge services provided under the Meridian Concierge brand. This Agreement constitutes a legally binding agreement between XTALENT EVENTS LLC, operating under the Meridian Concierge brand (hereinafter referred to as the "Company," "Meridian Concierge," "we," "our," or "us"), and any individual or legal entity accessing the Website or purchasing the Company's services (hereinafter referred to as the "Client," "Customer," or "you").By accessing the Website, purchasing a Membership, subscribing to our services, making a payment, or communicating with Meridian Concierge through the Website, Telegram, email, or any other communication channel, you acknowledge that you have carefully read, understood, and agreed to be bound by these Terms of Service.If you do not agree with any provision of this Agreement, you must immediately discontinue using the Website and refrain from purchasing or using any services provided by Meridian Concierge.2. DefinitionsFor the purposes of this Agreement, the following terms shall have the meanings set forth below. Company means XTALENT EVENTS LLC, operating under the Meridian Concierge brand. Meridian Concierge means the international premium concierge service providing personalized lifestyle, family, travel, business, and corporate concierge services. Client means any individual or legal entity who accesses the Website, purchases a Membership, or requests services from the Company.Membership means a paid subscription plan that grants the Client access to concierge services and benefits in accordance with the selected Membership package.Subscription means a recurring payment arrangement processed through Stripe or another authorized payment provider, which renews automatically unless cancelled in accordance with these Terms.Request means a single concierge task, instruction, or service request submitted by the Client for coordination, organization, or execution by Meridian Concierge.Partner means any independent third-party supplier or service provider involved in fulfilling a Client's Request, including, but not limited to, airlines, hotels, restaurants, transportation providers, event organizers, government authorities, visa service providers, luxury service providers, or any other external supplier.Website means the official Meridian Concierge website located at https://meridianglobalaccess.online, including all associated webpages and online services.Business Hours means the operating hours during which concierge Requests are accepted and processed, as specified on the Website or within the applicable Membership plan.4. Scope of ServicesMeridian Concierge provides professional concierge services involving the organization, coordination, management, and facilitation of personal, family, travel, lifestyle, business, and corporate Requests.Services are provided in accordance with the Client's selected Membership plan or any separate written agreement entered into between the parties.Meridian Concierge provides Clients with access to its international network of trusted partners and service providers and coordinates communications and arrangements on the Client's behalf.Unless expressly agreed otherwise in writing, Meridian Concierge does not itself provide or perform third-party services.The Company acts solely as a professional concierge, coordinator, and facilitator between the Client and independent third-party service providers.Nothing contained in this Agreement shall be interpreted as creating an agency, partnership, employment, joint venture, or fiduciary relationship between the Client and Meridian Concierge except where expressly provided by applicable law or a separate written agreement.5. Eligibility to Use the ServicesThe services of Meridian Concierge are available only to individuals who are at least eighteen (18) years of age and who have the legal capacity to enter into binding agreements. By purchasing a Membership or using the Company's services, the Client represents and warrants that:- they have the legal authority and capacity to enter into this Agreement;
- all information provided to Meridian Concierge is accurate, complete, and current;
- they are acting on their own behalf or have full legal authority to act on behalf of another individual or legal entity;
- they will comply with these Terms of Service and all applicable laws and regulations.
Meridian Concierge reserves the right to refuse, suspend, or terminate access to its services where the Company reasonably believes that the Client has provided false or misleading information, violated these Terms, or engaged in conduct that is unlawful or inconsistent with the Company's policies.6. Membership and SubscriptionMeridian Concierge provides its services through Membership plans.Each Membership grants the Client access to a specified level of concierge services, a defined number of Concierge Requests, service benefits, and additional privileges in accordance with the selected Membership plan.The description, pricing, benefits, limitations, and conditions applicable to each Membership are published on the Website and form an integral part of this Agreement. A Membership becomes effective upon successful payment confirmation and remains valid for the applicable Membership period.Membership benefits are personal to the Client and may not be assigned, transferred, resold, or shared unless expressly authorized by Meridian Concierge in writing.7. Automatic RenewalUnless otherwise stated at the time of purchase, Memberships are offered on a recurring subscription basis. By purchasing a recurring Membership, the Client authorizes Meridian Concierge and its payment provider, including Stripe, to automatically charge the applicable Membership fee using the selected payment method at the beginning of each renewal period. The Subscription shall continue to renew automatically until cancelled by the Client in accordance with this Agreement.The Client is solely responsible for maintaining valid payment information and ensuring that sufficient funds are available for renewal payments.If an automatic payment cannot be successfully processed, Meridian Concierge reserves the right to suspend or terminate the Membership until payment has been successfully completed.8. Subscription CancellationThe Client may cancel the automatic renewal of the Subscription at any time through the applicable payment management portal or by any other method made available by Meridian Concierge.Cancellation prevents future renewal charges only.Cancellation does not affect the validity of the current paid Membership period, which shall remain active until its scheduled expiration date.Except where otherwise required by applicable law or expressly provided in this Agreement, cancellation of a Subscription does not entitle the Client to a full or partial refund of Membership fees already paid.9. Membership FeesMembership fees are published on the Website and may be amended by Meridian Concierge from time to time.Any changes to Membership pricing shall apply only to future billing periods and shall not affect Memberships that have already been paid for.Where required, Meridian Concierge will provide reasonable notice of pricing changes before the next automatic renewal.Unless otherwise stated, all Membership fees are exclusive of any applicable taxes, duties, governmental charges, or other mandatory fees.10. Concierge RequestsEach Membership includes the number of Concierge Requests specified in the applicable Membership plan.One completed concierge task constitutes one Concierge Request.Where a Client's instruction requires multiple independent services or separate transactions, each such service or transaction may be treated as an individual Concierge Request.Where applicable, Meridian Concierge will inform the Client before additional Requests are deducted.Unused Concierge Requests expire at the end of the applicable Membership period, are non-transferable, and are not redeemable for cash, credit, or refunds.11. Third-Party ExpensesMembership fees cover only the professional concierge services provided by Meridian Concierge. All third-party costs incurred in connection with fulfilling a Client's Request remain the sole responsibility of the Client.Such expenses may include, without limitation:- airfare;
- accommodation;
- restaurant reservations;
- transportation services;
- yacht charters;
- villa rentals;
- event tickets;
- visa fees;
- government charges;
- partner service fees;
- courier services;
- purchases of goods;
- delivery costs; and
- any other expenses directly associated with the requested service.
Meridian Concierge shall not be required to advance, finance, or otherwise pay any third-party expenses on behalf of the Client unless expressly agreed in writing.12. Refund PolicyUpon activation of a Membership, the Membership fee is deemed earned in consideration for granting access to Meridian Concierge services and the associated Membership benefits.Accordingly, Membership fees are non-refundable, except where a refund is expressly required by applicable law or otherwise provided under this Agreement.Refunds will not be issued where:- the Client changes their mind after purchasing the Membership;
- the Membership is only partially used or not used at all;
- the Client does not utilize all or any available Concierge Requests;
- the Client fails to cancel the Subscription before the next scheduled renewal date.
Payments made to independent third-party suppliers, including airlines, hotels, restaurants, transportation providers, event organizers, government authorities, or any other external service providers, are governed exclusively by the terms and cancellation policies of those providers and are not refundable by Meridian Concierge.13. Payment Disputes and ChargebacksIn the event of any payment-related concern, the Client agrees to contact Meridian Concierge before initiating a payment dispute, chargeback, or claim with their bank, credit card issuer, Stripe, or any other payment service provider.The Parties agree to make reasonable efforts to resolve any dispute relating to payments, refunds, or services promptly, fairly, and in good faith through direct communication before seeking intervention from any third-party payment processor or financial institution.Nothing in this Agreement limits or excludes any statutory rights the Client may have under applicable law to dispute a payment where such rights cannot legally be waived or restricted.Where a chargeback or payment dispute is initiated in bad faith, including circumstances where services have been provided in accordance with this Agreement, Meridian Concierge reserves the right, to the extent permitted by applicable law, to:- suspend or terminate the Client's Membership;
- refuse future services;
- recover reasonable costs incurred by the Company, including payment processing fees, administrative expenses, legal costs (where applicable), and other documented losses arising from the payment dispute; and
- pursue any other remedies available under applicable law.
Meridian Concierge may temporarily suspend the performance of outstanding Concierge Requests and restrict access to Membership benefits while a payment dispute is being investigated, where such action is reasonably necessary and permitted by applicable law.For the purpose of responding to a payment dispute, Meridian Concierge may provide the relevant payment provider with documentation reasonably necessary to establish the validity of the transaction, including payment confirmations, Membership records, communications, Concierge Request history, and other relevant evidence.The initiation of a chargeback does not, by itself, constitute grounds for an automatic refund and does not relieve the Client of any obligations arising under this Agreement, except where otherwise required by mandatory provisions of applicable law.14. Third-Party ServicesMeridian Concierge coordinates and facilitates services provided by independent third-party suppliers.Unless expressly agreed otherwise in writing, Meridian Concierge does not own, operate, manage, or control airlines, hotels, restaurants, transportation providers, yacht charter companies, villa operators, event organizers, governmental authorities, visa service providers, insurance companies, or any other third-party supplier.The Client acknowledges and agrees that all third-party services are performed independently by the respective supplier under that supplier's own terms, conditions, and policies.Accordingly, Meridian Concierge shall not be responsible for any acts, omissions, delays, cancellations, errors, service failures, insolvency, or other conduct of any third-party supplier.Any complaints relating to third-party services may be directed to Meridian Concierge for assistance; however, Meridian Concierge does not guarantee any particular outcome or resolution.15. Best EffortsMeridian Concierge is committed to providing professional concierge services using commercially reasonable skill, care, and diligence.The Company agrees to use reasonable commercial efforts to fulfill each Client Request.However, unless expressly agreed otherwise in writing, Meridian Concierge does not guarantee:- availability of flights;
- hotel availability;
- restaurant reservations;
- event tickets;
- visa approvals;
- immigration decisions;
- pricing;
- supplier acceptance;
- delivery times;
- specific outcomes; or
- successful completion of any Request where the result depends upon an independent third party or circumstances beyond the Company's reasonable control.
Meridian Concierge's obligation is to provide professional coordination and assistance, not to guarantee a particular result.16. Client ResponsibilitiesThe Client agrees to:- provide complete, accurate, and up-to-date information;
- respond promptly to requests for additional information where necessary;
- obtain all required travel documents, passports, visas, permits, medical certificates, or other documents unless Meridian Concierge has expressly agreed in writing to assist with such arrangements;
- make all required payments on time;
- comply with all applicable laws and regulations;
- treat Meridian Concierge personnel and partners respectfully and professionally;
- refrain from using the services for unlawful, fraudulent, abusive, or unethical purposes.
The Client is solely responsible for the accuracy of any information provided to Meridian Concierge.17. Right to Refuse ServiceMeridian Concierge reserves the right to refuse, suspend, or terminate the provision of services, in whole or in part, where the Company reasonably determines that:- the requested service would violate any applicable law or regulation;
- the Request is fraudulent, deceptive, or misleading;
- the Request may expose the Company, its employees, or partners to legal, financial, operational, or reputational risk;
- the Client provides false, incomplete, or misleading information;
- the Request involves sanctioned persons, prohibited jurisdictions, money laundering, terrorist financing, or other prohibited activities;
- the Client behaves abusively, threatens, harasses, or otherwise acts inappropriately toward the Company's personnel or partners;
- continuation of the services would be commercially unreasonable or inconsistent with the Company's internal policies.
Where reasonably possible, Meridian Concierge will notify the Client of such decision.Nothing in this section limits any mandatory rights granted to the Client under applicable law.18. Limitation of LiabilityTo the maximum extent permitted by applicable law, Meridian Concierge shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to:- loss of profits;
- loss of business opportunities;
- loss of revenue;
- loss of goodwill;
- emotional distress;
- travel disruption;
- missed events;
- delays;
- cancellations;
- or any other losses arising from circumstances beyond the Company's reasonable control.
Meridian Concierge shall not be liable for delays or failures resulting from:- acts or omissions of third-party suppliers;
- airline schedule changes;
- weather conditions;
- government actions;
- visa refusals;
- border restrictions;
- strikes;
- public health emergencies;
- natural disasters;
- force majeure events;
- failures of communication networks;
- Internet outages;
- cyber incidents beyond the Company's reasonable control.
Nothing in this Agreement excludes or limits liability where such limitation is prohibited by applicable law.19. Intellectual PropertyAll rights, title, and interest in and to the Website, the Meridian Concierge brand, trademarks, logos, trade names, designs, graphics, photographs, videos, text, software, databases, proprietary information, and all other intellectual property rights are owned by Meridian Concierge, XTALENT EVENTS LLC, or are used under valid license or authorization.Nothing contained in this Agreement grants the Client any ownership rights or license to use the Company's intellectual property other than the limited right to access and use the Website and services in accordance with these Terms.Without the Company's prior written consent, the Client may not:- copy, reproduce, distribute, publish, or otherwise exploit any content available on the Website;
- use the Meridian Concierge name, logo, trademarks, or branding;
- modify, translate, adapt, create derivative works from, or otherwise exploit any content or materials belonging to the Company;
- use any Company content for commercial purposes.
Unauthorized use of the Company's intellectual property may result in legal action and any other remedies available under applicable law.20. ConfidentialityMeridian Concierge is committed to maintaining the confidentiality of information provided by its Clients in accordance with applicable law and the Company's Privacy Policy. Any information provided by the Client shall be used solely for the purpose of providing concierge services, fulfilling contractual obligations, complying with legal requirements, and conducting the Company's legitimate business activities.This section shall be read together with the Privacy Policy, which forms an integral part of this Agreement.21. Force MajeureMeridian Concierge shall not be liable for any delay or failure to perform its obligations under this Agreement where such delay or failure results from circumstances beyond the Company's reasonable control.Force majeure events include, but are not limited to:- natural disasters;
- war or armed conflict;
- acts of terrorism;
- civil unrest;
- epidemics or pandemics;
- public emergencies;
- governmental actions;
- changes in laws or regulations;
- sanctions;
- travel restrictions;
- strikes or labor disputes;
- accidents;
- interruptions to telecommunications or Internet services;
- power outages;
- cyberattacks; and
- any other events beyond the reasonable control of the Company.
Where a force majeure event occurs, Meridian Concierge shall be entitled to extend the time for performance of its obligations without incurring liability for any resulting delay.22. Governing Law and Dispute ResolutionThis Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.The Parties agree to use reasonable efforts to resolve any dispute, claim, or controversy arising out of or relating to this Agreement through good-faith negotiations.If the Parties are unable to resolve the dispute amicably, such dispute shall be submitted to the competent courts of the United Arab Emirates, unless otherwise required by mandatory provisions of applicable law.23. AmendmentsMeridian Concierge reserves the right to amend, revise, or update this Agreement at any time.The most current version of these Terms of Service will be published on the Website.Unless otherwise stated, any amendments shall become effective immediately upon publication.The Client's continued use of the Website, Membership, or the Company's services following the publication of any amendments constitutes acceptance of the revised Agreement.24. SeverabilityIf any provision of this Agreement is determined by a court or other competent authority to be invalid, unlawful, or unenforceable, such provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions of this Agreement shall remain in full force and effect.The invalid or unenforceable provision shall, where possible, be interpreted or replaced in a manner that most closely reflects its original intent while remaining legally enforceable.25. Entire AgreementThis Agreement, together with the following documents:- Privacy Policy;
- Membership Terms & Conditions;
- Refund & Cancellation Policy; and
- any additional policies or legal notices published on the Website,
constitutes the entire agreement between Meridian Concierge and the Client regarding the use of the Website, Memberships, subscriptions, and concierge services. In the event of any inconsistency between this Agreement and any supplementary policy, the provisions of this Agreement shall prevail unless expressly stated otherwise in the relevant document.26.
